These terms and conditions are provided to You, the client, with the understanding that use of our services constitutes an agreement to be bound by these terms. These terms shall be applicable to all platforms by which we provide our services to you, including but not limited to our website, our official Instagram & twitter page and WhatsApp platforms (together the platform). The platform is operated by ADALIA LAGOS. Throughout this agreement, the terms “we”, “us” and “our” refer to ADALIA LAGOS. We offer the platform, including all information, tools and services available to you, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.

The material included herein, including without limitation all content, text, graphics, artwork, photographs, site design, logos, icons, images, audio or video clips, code, scripts and software (collectively, the “Materials“), is the property of ADALIA and/or its content suppliers and is protected by the trademark, copyright and other intellectual property laws of the Federal Republic of Nigeria.

Please read these Terms of Service carefully before accessing or using our platform. By accessing or using any part of the platform, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service. 

We may also, in the future, offer new services and/or features. Such new features and/or services shall also be subject to these Terms of Service.

 The headings used in these Terms are included for convenience only and will not limit or otherwise affect these Terms.

 

General Use


You may not use our products or services for any illegal or unauthorized purpose nor may you, in the use of the service, violate any laws in your jurisdiction (including but not limited to copyright and government laws). A breach or violation of any of the Terms will result in an immediate termination of your services, without prejudice to our rights to claim damages.

The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

 

Orders


Any order placed through our platforms is an offer by you to use our services in accordance with these terms. We reserve the right to accept or reject an order you make using our website for any reason. We reserve the right, but are not obligated, to limit the provision of our services to any person, geographic region or jurisdiction. 

 

Our Services


Reference to services under these Terms shall refer to any of the foregoing services (together the “Services”):

ADALIA SHIPS

       General Terms

  • Customers must purchase items and ship them to the warehouse address provided by ADALIA.
  • For UK shipments, ADALIA may collect parcels from a customer’s preferred address, subject to collection fees communicated at the time of order.
  • Parcels sent to our address must be correctly labelled as instructed. ADALIA is not liable for loss or misdirection due to incorrect labelling.
  • ADALIA does not accept responsibility for loss, damage, or theft until goods are physically received at our facility. Once received and shipment is confirmed, ADALIA assumes full responsibility.
  • ADALIA reserves the right to open and inspect packages without prior notice.
  • Delivery obligations are considered fulfilled once goods are delivered to the customer’s provided address.
  • Customers remain liable for any customs duties, taxes, or regulatory fees imposed by relevant authorities.
  • All fees are subject to VAT.

Governing Law, Customs Duties and Taxes


These Terms and any related agreements shall be governed by and construed in accordance with the laws of the applicable jurisdiction.

All parcels received by ADALIA are subject to inspection by regulatory authorities en route to Nigeria. Certain goods, including edible items, cosmetics, furniture, or items containing lithium batteries, may attract government levies (e.g., NAFDAC and Customs charges) or require special handling.

Customs duties and taxes may apply in the destination country. ADALIA has no control over these charges. Customers are responsible for providing all necessary documentation for clearance. Failure to comply may result in additional costs, including return shipping to the origin.

 

Force Majeure


ADALIA should not be liable for delays or failure to deliver caused by events outside its reasonable control, including airline delays, natural disasters, strikes, pandemics, civil unrest, acts of government, or supply chain disruptions.

 

Dangerous goods


You warrant that all goods provided for shipping are safe and not classified as dangerous goods. ADALIA shall not handle items that are corrosive, hazardous, inflammable, explosive, or otherwise deemed unsafe (see Appendix 1 for restricted items).

If any dangerous goods are shipped without disclosure, you will be liable for all losses or damages caused to ADALIA or third parties, and ADALIA shall still be entitled to recover service fees and related costs.

 

Lien


As security for unpaid charges, ADALIA has a lien over all goods in its possession or control. If payment is not received within 14 days, ADALIA reserves the right to dispose of such goods without further notice.

 

Prices


Service prices and availability are subject to change at any time without notice. ADALIA is not liable for typographical errors, including those affecting service prices. 

 

Warranties and Reservations


ADALIA’s liability is limited to direct loss or damage only, capped at £50 per shipment regardless of shipping category. All other types of loss (e.g., lost profits, revenue, business, or special/indirect damages) are excluded.

If higher protection is required, you must declare the shipment value and purchase additional insurance (either via ADALIA or your own provider, with proof of coverage). Claims must be submitted in writing within 30 days of shipment acceptance.

ADALIA provides its website, content, and services on an “as is” and “as available” basis, without warranties of any kind. We do not guarantee uninterrupted, timely, secure, or error-free service.

 

Your Warranties and Representations


You agree to indemnify and hold ADALIA harmless from any loss or liability resulting from:

  • Provide accurate delivery information and contact details.
  • Ensure items are legal to import and comply with age or licensing restrictions.
  • Supply all necessary customs documentation.
  • Track shipments and report any discrepancies promptly.

 

Storage/Holding Period


ADALIA may hold packages at its warehouse upon client request for a maximum period of 2 weeks (2 Wednesdays). Extended storage may incur additional fees. Shipments abandoned beyond 30 days of arrival may be disposed of at ADALIA’s discretion.

 

Packaging


  • Original packaging is the responsibility of the customer.
  • ADALIA may repack items only if formally requested; additional fees may apply.
  • ADALIA is not responsible for damage caused by inadequate original packaging.

 

Additional Terms


  1. Under Adalia Ships, customers must provide receipts and tracking details for all orders (via adalialagos@gmail.com). Failure to do so may delay shipping.
  2. Customers must monitor deliveries. If a courier marks a package as “delivered” but ADALIA has not confirmed receipt by the next business day, notify us immediately.
  3. Wholesale/perishable/skincare shipments may face extra NAFDAC or customs checks.
  4. Volumetric weight may apply: (L × W × H ÷ 5000) or ÷139 for US shipments. Charges are based on the higher of actual or volumetric weight.
  5. Consolidation of packages is available, but reconciliation/order checking incurs extra fees.
  6. Packaging will not be removed unless requested; additional charges may apply.
  7. Due to delivery delays, items may be held and shipped on the second Wednesday after receipt.
  8. Additional packaging beyond 2 boxes incurs a £5/box charge.
  9. Local delivery fees apply to all shipments.
  10. Fees are payable in naira (based on daily black-market rates) unless GBP/USD/CAD is agreed.
  11. Minimum weight charges apply where shipments fall below the threshold.
  12. Shipping weights are rounded up to the nearest 1kg (e.g., 1.2kg billed as 2kg).
  13. Payments must be made within 2 days of invoice receipt. Delays beyond 1 week may result in FX adjustment or interest charges.
  14. For shipments valued above £50/$70, customers are advised to purchase additional insurance.

 

Third Parties


ADALIA may provide links to third-party websites or use third-party logistics/payment providers. ADALIA is not responsible for third-party content, accuracy, services, or delays.

 

Payment and Refunds


  • Payments are primarily due in Naira, based on the prevailing black-market FX rate, unless otherwise agreed.
  • Minimum weight charges apply if parcels are under the prescribed limit.
  • Shipping weights are rounded up to the nearest 1kg.
  • Fees are due within 2 days of invoice receipt; late payments may incur interest or FX adjustments.

Data Protection/Privacy


Customer information will be collected, stored, and used according to ADALIA’s Privacy Policy, including for shipments notification, order summary and details, payments, and tracking.

 

Indemnification


You agree to indemnify and hold harmless ADALIA, its officers, employees, affiliates, and service providers against claims or expenses (including legal fees) arising from your breach of these Terms of Service or violation of applicable laws.

 

Modifications


ADALIA reserves the right to amend these Terms, policies, and services at any time without notice. Continued use of our services constitutes acceptance of updated terms.

 

Severability


If any provision of these Terms is deemed unlawful or unenforceable, the remaining provisions shall remain valid and enforceable.

 

Termination


These Terms remain effective unless terminated by you or ADALIA. Either party may terminate at any time. ADALIA may also suspend or terminate services immediately if you breach these Terms.

 

Entire Agreement


These Terms, along with referenced policies, constitute the entire agreement between you and ADALIA, superseding all prior agreements. Any ambiguities shall not be interpreted against ADALIA as the drafting party.

Appendix 1 – Restricted & Prohibited Goods


Shipping restrictions on express and premium services

 

  1. Batteries & Electronics – Loose batteries, power banks, excessive mobile phones/laptops per box.
  2. Hazardous & Dangerous Goods – Flammable, corrosive, toxic, dry ice, explosives, firearms, party poppers.
  3. Biological / Human / Animal Items – Human/animal remains, bodily fluids, clinical samples, live animals, plants.
  4. Currency & Valuables – Cash, activated/deactivated cards, bullion, jewelry, watches, precious stones.
  5. Controlled Substances – Alcohol, tobacco, narcotics, medicinal cannabis.
  6. Other Prohibited Items – Counterfeit goods, pornography, antiques or art over £5,000, items violating IPR.
